Welcome to Kourses.com ("Site"), owned and operated by Kourses Ltd ("Company", "we", "us", or "our"), a company registered in England and Wales. These Terms and Conditions ("Terms") govern your access to and use of our online course management software, community functionality, checkout page and sales funnel services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access the Services.

1. Acceptance of Terms

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legal agreement between you and Kourses Ltd.

2. Changes to Terms

We reserve the right to modify these Terms at any time. All changes are effective immediately upon posting to the Site. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes.

3. Accessing the Services

3.1 Eligibility

To access or use our Services, you must be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater. By using our Services, you represent and warrant that you meet all eligibility requirements.

To access certain features of the Services, you must register for an account. When you register, you agree to:

4. Subscription Plans and Payment

4.1 Free Trial

We offer a 14-day free trial for our Services. A valid credit card is required at the time of registration. At the end of the trial period, unless you cancel your subscription, your account will automatically convert to a paid subscription based on the plan you selected during registration.

4.2 Subscription Plans

We offer multiple subscription tiers (currently Creator, Business, and Unlimited). The features and pricing for each plan are described on our Site. We reserve the right to change our subscription plans and pricing at any time.

4.3 Payment and Billing

You agree to pay all fees associated with your subscription plan. All payments are non-refundable except as expressly stated in these Terms. You authorize us to charge your designated payment method for all fees incurred. If your payment method fails or your account is past due, we reserve the right to suspend or terminate your access to the Services.

4.4 Refund Policy

As we offer a 14-day free trial, we generally do not provide refunds. However, if a charge is processed and you wish to cancel within 24 hours of the charge, we may, at our sole discretion, offer a refund. Refund requests must be submitted to support@kourses.com.

4.5 Taxes

All fees are exclusive of taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only UK taxes based on our income.

5. User Content

5.1 Your Content

Any content you upload, post, create, or make available through our Services ("User Content") remains your property. By uploading or posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in connection with providing and promoting the Services.

5.2 Content Restrictions

You may not upload, post, or transmit any User Content that:

Infringes any patent, trademark, trade secret, copyright, or other intellectual property rights
Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
Contains software viruses or any other code designed to interrupt, destroy, or limit the functionality of any computer software or hardware

Is related to pornography, illegal drugs, or other illegal activities

5.3 Content Monitoring

We do not actively monitor User Content but reserve the right to review and remove any User Content that violates these Terms. We are not responsible for the accuracy, safety, or legality of User Content.

6. Prohibited Uses

You agree not to use the Services for any purpose that is illegal or prohibited by these Terms. Prohibited uses include, but are not limited to:

• Any activity related to pornography or sexually explicit material
• Any activity related to illegal drugs, controlled substances, or their manufacture or distribution
• Any activity that violates applicable laws or regulations
• Any activity that interferes with or disrupts the Services or servers
• Any attempt to gain unauthorized access to any part of the Services
• Using the Services for any fraudulent or deceptive purpose
• Using the Services to transmit spam, chain letters, or unsolicited mass mailings

7.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes. This license does not include any resale or commercial use of the Services or any collection and use of any product listings, descriptions, or prices; any derivative use of the Services or their contents; or any use of data mining, robots, or similar data gathering and extraction tools.

8. Third-Party Links and Services

The Services may contain links to third-party websites or services that are not owned or controlled by Kourses Ltd. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by the use of any such third-party websites or services.

To the fullest extent permitted by applicable law, in no event shall Kourses Ltd, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

10. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. Kourses Ltd expressly disclaims all warranties, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We do not warrant that the results that may be obtained from the use of the Services will be accurate or reliable.

11. Indemnification

You agree to defend, indemnify, and hold harmless Kourses Ltd, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Services
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your User Content caused damage to a third party

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

13. Data Protection

We will only use your personal information in accordance with our Privacy Policy. By using the Services, you consent to such processing and you warrant that all data provided by you is accurate.

14. General Terms

14.1 Governing Law

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts of England and Wales.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

We will not be liable for any failure to perform our obligations under these Terms where such failure results from any cause beyond our reasonable control, including, but not limited to, mechanical, electronic, or communications failure or degradation.

14.6 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. We may assign or transfer these Terms, at our sole discretion, without restriction.

14.7 Relationship of Parties

Nothing in these Terms will be construed as creating a joint venture, partnership, employment, or agency relationship between you and Kourses Ltd.
