1. Introduction
1.1 These Terms of Service ("Terms") constitute a legally binding agreement between you and Kourses Ltd ("Kourses", "we", "us", or "our"), a company registered in England and Wales, with registered address at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ.
1.2 These Terms govern your access to and use of the Kourses platform, including our website at kourses.com, our online course and community hosting software, checkout and payment processing features, and all related services (collectively, the "Services").
1.3 These Terms should be read together with our Privacy Policy, Cookie Policy, and any other policies referenced herein.
1.4 By creating an account or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.
2. Definitions
In these Terms:
"Content" means any courses, lessons, videos, audio, images, text, downloads, community posts, or other materials uploaded to or created on the Platform.
"Creator" means an individual or business that subscribes to Kourses to create, host, and sell courses, communities, or digital products to Students.
"Creator Content" means all Content uploaded or created by a Creator using the Services.
"Platform" means the Kourses website, software, and all related tools and features.
"Student" means an individual who accesses or purchases Creator Content through the Platform.
"Subscription" means a Creator's paid plan with Kourses (Starter, Pro, or Unlimited).
"User" means any person who accesses the Platform, including Creators and Students.
3. Our Services
3.1 Kourses provides an online platform that enables Creators to build, host, and sell online courses, communities, and digital products to their Students.
3.2 Kourses is a technology platform provider. We are not an educational institution, content provider, or publisher. We do not create, control, or endorse any Creator Content.
3.3 The relationship between Creators and Students is direct. Kourses is not a party to any agreement between a Creator and their Students, and we are not responsible for any disputes, claims, losses, or damages arising from that relationship.
3.4 Creators are solely responsible for the Creator Content they publish, including its accuracy, legality, and compliance with applicable laws.
4. Eligibility and Accounts
4.1 Age Requirement
You must be at least 18 years old to use our Services. By using the Platform, you represent and warrant that you meet this age requirement.
4.2 Account Registration
To access certain features of the Platform, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Keep your login credentials secure and confidential
- Accept responsibility for all activity under your account
- Notify us immediately of any unauthorised use of your account
4.3 Creator Accounts
If you register as a Creator, you (or the business you represent) are the account holder and are responsible for all activity on your account, including any team members or administrators you grant access to.
If you are registering on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
4.4 Account Ownership Disputes
In the event of a dispute over account ownership, we may request documentation to verify ownership. We reserve the right to determine account ownership in our sole judgement.
5. Subscription Plans and Fees
5.1 Subscription Plans
Kourses offers the following subscription plans: Starter, Pro, and Unlimited. Details of features and pricing for each plan are available on our website at kourses.com/pricing.
5.2 Billing
Subscriptions are billed in advance on either a monthly or annual basis, depending on your selection at the time of purchase. Payment is charged to your chosen payment method at the start of each billing cycle.
5.3 Automatic Renewal
Your Subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. Upon cancellation, you will retain access to your paid features until the end of your current billing period.
5.4 Price Changes
We may change our subscription pricing from time to time. We will provide reasonable notice of any price changes, and such changes will take effect at the start of your next billing cycle following the notice period.
5.5 Failed Payments
If payment fails, we may restrict access to your account until payment is received. We reserve the right to pursue outstanding amounts using lawful collection methods.
5.6 No Transaction Fees
Kourses does not charge transaction fees on Creator sales. However, payments processed through our checkout feature use Stripe, which charges its standard processing fees. These fees are deducted by Stripe before funds reach the Creator.
6. Free Trial
6.1 We may offer a free trial period for new Creators. The current trial period is 14 days.
6.2 To start a free trial, you must provide valid payment card details. Your card will not be charged during the trial period unless you exceed any usage limits specified at sign-up.
6.3 At the end of the trial period, your Subscription will automatically convert to a paid plan and your payment method will be charged, unless you cancel before the trial ends.
6.4 If you cancel during the trial period, you will not be charged.
7. Refunds
7.1 Creator Subscription Refunds
If you are unhappy with your Kourses subscription, you may request a full refund within 14 days of your first payment. To request a refund, contact us at team@kourses.com.
This 14-day refund period applies only to your initial subscription purchase. Refunds are not available for:
- Subscription renewals
- Plan upgrades or downgrades
- Accounts that have been terminated for breach of these Terms
7.2 Creator Refund Policies for Students
Creators are solely responsible for setting and communicating their own refund policies to their Students. Kourses does not mandate any particular refund policy for Creator Content.
We strongly recommend that Creators establish clear refund terms and communicate them to Students prior to purchase.
7.3 Kourses is not responsible for processing refunds between Creators and Students. Such refunds are managed directly by the Creator through their payment provider.
8. Payments and Payouts
8.1 Creators who use the Kourses checkout feature to sell their Content will have payments processed through Stripe. By using this feature, you agree to Stripe's terms of service.
8.2 Kourses does not hold or control Creator funds. Payments flow directly from Students to Creators via Stripe.
8.3 Creators are responsible for configuring their Stripe account and ensuring payouts are correctly set up.
8.4 Kourses does not handle affiliate commissions or revenue splits between Creators and third parties. Any such arrangements are outside the scope of our Services.
9. Creator Responsibilities
9.1 Content Ownership
Creators retain full ownership of their Creator Content. By uploading Content to the Platform, you grant Kourses a limited, non-exclusive, royalty-free licence to store, display, and transmit your Content solely for the purpose of providing the Services.
9.2 Content Accuracy
Creators are solely responsible for the accuracy, quality, and legality of their Creator Content. You represent and warrant that your Content does not:
- Infringe any third party's intellectual property rights
- Violate any applicable laws or regulations
- Contain false, misleading, or deceptive information
- Breach any duty of confidentiality
9.3 Data Protection
When Creators collect personal data from Students (such as names, email addresses, and payment information), the Creator acts as a data controller under applicable data protection laws, including UK GDPR.
Creators are responsible for:
- Providing appropriate privacy notices to their Students
- Obtaining any necessary consents
- Responding to data subject requests from their Students
- Complying with all applicable data protection laws
Kourses acts as a data processor on behalf of Creators with respect to Student data.
9.4 Compliance with Laws
Creators are responsible for ensuring their use of the Platform and their Creator Content complies with all applicable laws, including consumer protection laws, tax laws, and advertising standards.
10. Acceptable Use and Prohibited Content
10.1 You agree to use the Platform only for lawful purposes and in accordance with these Terms.
10.2 You must not use the Platform to create, upload, distribute, or promote Content that:
- Is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
- Contains sexually explicit material or pornography
- Promotes violence, hatred, or discrimination against any individual or group
- Contains content that sexualises, exploits, or endangers minors in any way
- Infringes any intellectual property rights, including copyright and trademarks
- Contains malware, viruses, or other harmful code
- Constitutes spam or unsolicited commercial communications
- Promotes illegal activities, including drug use, weapons, or fraud
- Contains false or misleading health, medical, or financial claims
- Impersonates any person or entity
- Violates any applicable law or regulation
10.3 You must not:
- Attempt to gain unauthorised access to the Platform or other users' accounts
- Interfere with or disrupt the Platform or servers
- Use automated tools to access or scrape the Platform without permission
- Reverse engineer, decompile, or disassemble any part of the Platform
- Use the Platform to compete with Kourses
10.4 We reserve the right to remove any Content that violates these Terms and to suspend or terminate accounts that breach these provisions.

11. Intellectual Property
11.1 Kourses Property
The Platform, including its design, features, functionality, software, text, graphics, logos, and trademarks, is owned by Kourses or its licensors and is protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for its intended purpose, subject to these Terms.
This licence does not include the right to:
- Modify, copy, or create derivative works of the Platform
- Sublicense, sell, or redistribute access to the Platform
- Use our trademarks or branding without written permission
11.2 Creator Content
Creators retain ownership of their Creator Content. By uploading Content, you grant Kourses a licence to use, store, display, and transmit your Content as necessary to provide the Services.
11.3 Feedback
If you provide feedback, suggestions, or ideas about the Platform, you grant us a royalty-free, worldwide, perpetual licence to use such feedback for any purpose without obligation to you.
12. Termination
12.1 Termination by You
You may cancel your Subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. You may request deletion of your account at any time by contacting team@kourses.com.
12.2 Termination by Kourses
We may suspend or terminate your account immediately if:
- You breach any provision of these Terms
- You fail to pay any fees when due
- We are required to do so by law
- We discontinue the Services
12.3 Effect of Termination
Upon termination:
- Your right to access the Platform ceases immediately
- We may delete your account and associated Content
- Any outstanding fees remain payable
- Provisions that by their nature should survive termination will continue to apply
12.4 Data Export
We recommend that Creators export their Content and Student data before cancelling their account. We are not obligated to retain or provide access to Content after account termination.
13. Disclaimer of Warranties
13.1 The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
13.2 We do not warrant that:
- The Platform will be uninterrupted, error-free, or secure
- Any defects will be corrected
- The Platform will meet your specific requirements
- Any Content on the Platform is accurate or reliable
13.3 We do not endorse, guarantee, or assume responsibility for any Creator Content or any product or service advertised or offered by Creators.
14. Limitation of Liability
14.1 To the maximum extent permitted by law, Kourses shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from your use of or inability to use the Platform
- Damages arising from any Content posted on the Platform
- Damages arising from any third-party conduct or content
14.2 Our total liability to you for any claims arising from these Terms or your use of the Platform shall not exceed the total fees you have paid to Kourses in the 12 months preceding the claim.
14.3 Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Kourses and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:
- Your use of the Platform
- Your breach of these Terms
- Your violation of any law or third-party rights
- Your Creator Content
- Any dispute between you and your Students
16. Governing Law and Disputes
16.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.
16.2 Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16.3 If a dispute arises, we encourage you to contact us first at team@kourses.com to seek an informal resolution before pursuing formal legal action.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Kourses regarding the Services.
17.2 Amendments
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
17.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17.4 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
17.5 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
17.6 Third-Party Rights
These Terms do not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
